A special committee of the OpenAI Board of Directors today announced the completion of its review by WilmerHale. The company conducted dozens of interviews with former OpenAI board members, OpenAI executives, former board advisors, and other relevant witnesses. Over 30,000 documents were reviewed. We evaluated various corporate activities. Based on the record produced by WilmerHale and following the recommendations of the special committee, the Board expressed full confidence in his Sam Altman and Greg Brockman’s continued leadership of OpenAI.
“We unanimously concluded that Sam and Greg are the right people to lead OpenAI,” said Brett Taylor, Chairman of the OpenAI Board of Directors.
Sam Altman will rejoin the OpenAI Board of Directors as CEO.
As part of our expansion efforts, the OpenAI Board of Directors also announced today the election of three new board members:
- Dr. Sue Desmond Hellman, He is the former CEO of the Bill and Melinda Gates Foundation and a member of the Pfizer Inc. Board of Directors and the President’s Council of Science and Technology Advisors.
- nicole seligman, Former Sony Vice President and Global General Counsel, President of Sony Entertainment, and director of Paramount Global, Mayra GTx, and Intuitive Machines.
- Fiji Simo, CEO and Chairman of Instacart, Member of the Board of Directors of Shopify
Our new members have experience leading global organizations and navigating complex regulatory environments, including backgrounds in technology, nonprofits, and board governance. They will work closely with current board members Adam DiAngelo, Larry Summers, and Brett Taylor, as well as Greg, Sam, and OpenAI’s senior management team.
Mr Taylor added: “As Chairman of the Board, I am excited to welcome Sue, Nicole, and Fiji to his OpenAI Board of Directors. Their experience and leadership will enable the Board to oversee the growth of his OpenAI and ensure that Artificial General Intelligence It will ensure that we can pursue OpenAI’s mission of benefiting all humanity.”
The Board also announced that it has introduced significant improvements to OpenAI’s governance structure. Key enhancements include:
- Adopt a new set of corporate governance guidelines.
- Strengthen OpenAI’s conflict of interest policy.
- Create a whistleblower hotline to serve as an anonymous reporting resource for all OpenAI employees and contractors.and
- Establish additional board committees, including a mission and strategy committee focused on implementing and advancing OpenAI’s core mission.
The expanded Board of Directors will prioritize the important work of strengthening governance procedures to best achieve OpenAI’s mission. “We recognize the magnitude of our role in stewarding innovative technologies for the benefit of the world,” Taylor added.
